1. Geltungsbereich
Diese Allgemeinen Geschäftsbedingungen (nachfolgend "AGB") gelten für die Nutzung des Webservices SESAM (nachfolgend "Service") durch Endkunden und Firmenkunden (nachfolgend "Kunde" oder "Kunden"). Durch die Nutzung des Services erklären Sie sich mit diesen AGB einverstanden.
Endkunden: Als Endkunden bezeichnen wir natürliche Personen oder Verbraucher, die den Service für persönliche Zwecke nutzen und keine geschäftlichen oder gewerblichen Absichten verfolgen.
Firmenkunden: Als Firmenkunden bezeichnen wir juristische Personen, Unternehmen oder gewerbliche Organisationen, die den Service für geschäftliche Zwecke nutzen oder im Namen von Unternehmen handeln.
2. Vertragsgegenstand
Für den Service können Kunden, monatliche oder jährliche Abonnements für Zusatzfunktionen oder funktionale Erweiterungen erwerben. Der Kunde hat die Möglichkeit, zwischen monatlichen oder jährlichen Abonnements zu wählen. Die genauen Leistungen und Preise für die verschiedenen Abonnementstypen sind auf der Website des Services angegeben.
3. Vertragslaufzeit und Kündigung
a. Monatliche Abonnements: Die Vertragslaufzeit für monatliche Abonnements beträgt jeweils einen Monat und verlängert sich automatisch, sofern sie nicht vom Kunden gekündigt wird. Die Kündigung ist monatlich möglich und muss über das Kundenkonto erfolgen.
b. Jährliche Abonnements: Die Vertragslaufzeit für jährliche Abonnements beträgt ein Jahr und verlängert sich automatisch um ein weiteres Jahr, sofern sie nicht vom Kunden gekündigt wird. Die Kündigung ist jeweils vor Ablauf des Jahres möglich und muss über das Kundenkonto erfolgen.
4. Preise und Zahlungsbedingungen
Die Preise für die Abonnements sind auf der Website des Services angegeben und enthalten die gesetzliche Mehrwertsteuer. Die Preise können sich von Zeit zu Zeit ändern. Die Zahlung erfolgt im Voraus über die vom Zahlungsdienstleister Stripe angebotenen Zahlungsmethoden, einschließlich Kreditkarte und anderen auf der Website angegebenen Zahlungsoptionen. Der Vertragsabschluss kommt zustande, sobald die Zahlung erfolgreich verarbeitet wurde.
5. Widerrufsrecht
Endkunden haben das Recht, binnen 14 Tagen ab Vertragsabschluss ohne Angabe von Gründen vom Vertrag zurückzutreten. Um das Widerrufsrecht auszuüben, müssen Sie uns, der co4e GmbH, mittels einer eindeutigen Erklärung (z.B. per E-Mail über unser Kontaktformular) über Ihren Entschluss, vom Vertrag zurückzutreten, informieren.
Firmenkunden haben kein Widerrufsrecht.
6. Haftung und Gewährleistung
Der Service wird nach bestem Wissen und Gewissen bereitgestellt, jedoch ohne ausdrückliche oder stillschweigende Gewährleistung für die Richtigkeit, Verfügbarkeit oder Zuverlässigkeit der Dienste. Die Haftung für direkte oder indirekte Schäden ist ausgeschlossen, soweit gesetzlich zulässig.
7. Datenschutz
Der Service verarbeitet personenbezogene Daten gemäß den geltenden Datenschutzbestimmungen. Die Datenschutzerklärung auf der Website des Services enthält weitere Informationen dazu.

9. Schlussbestimmungen
a. Änderungen der AGB: Der Service behält sich das Recht vor, diese AGB jederzeit zu ändern. Kunden werden über Änderungen informiert und haben das Recht, den Vertrag zu kündigen, wenn sie den geänderten AGB nicht zustimmen.
b. Salvatorische Klausel: Sollten einzelne Bestimmungen dieser AGB unwirksam sein oder werden, so bleibt die Wirksamkeit der übrigen Bestimmungen hiervon unberührt.
c. Gerichtsstand: Für Streitigkeiten aus oder im Zusammenhang mit diesen AGB und dem Service gilt ausschließlich das Recht der Bundesrepublik Deutschland. Gerichtsstand ist Berlin.
Diese AGB sind gültig ab 24.08.2023 und ersetzen alle vorherigen Vereinbarungen zwischen dem Kunden und dem Service in Bezug auf den Service.

1. Scope
These General Terms and Conditions (hereinafter referred to as "Terms and Conditions") apply to the use of the SESAM web service (hereinafter referred to as the "Service") by end customers and corporate customers (hereinafter referred to as "Customer" or "Customers"). By using the Service, you agree to these Terms and Conditions.
End Customers: We refer to natural persons or consumers who use the Service for personal purposes and do not pursue any business or commercial intentions as "end customers".
Corporate Customers: We refer to legal entities, companies, or commercial organizations that use the Service for business purposes or act on behalf of companies as "corporate customers".
2. Subject Matter of the Contract
Customers can purchase monthly or annual subscriptions for additional features or functional extensions for the Service. Customers have the option to choose between monthly or annual subscriptions. The specific services and prices for different subscription types are specified on the Service's website.
3. Term of the Contract and Termination
a. Monthly Subscriptions: The term of the contract for monthly subscriptions is one month, and it automatically renews unless canceled by the customer. Cancellation is possible on a monthly basis and must be done through the customer account.
b. Annual Subscriptions: The term of the contract for annual subscriptions is one year, and it automatically renews for an additional year unless canceled by the customer. Cancellation is possible each year before the expiration of the year and must be done through the customer account.
4. Prices and Payment Terms
The prices for the subscriptions are specified on the Service's website and include the applicable value-added tax. Prices may change from time to time. Payment is made in advance using the payment methods offered by the payment service provider Stripe, including credit cards and other payment options specified on the website. The contract is concluded once payment has been successfully processed.
5. Right of Withdrawal
End customers have the right to withdraw from the contract within 14 days from the conclusion of the contract without stating any reasons. To exercise the right of withdrawal, you must inform us, co4e GmbH, through a clear statement (e.g., a letter sent by email via contact form) of your decision to withdraw from the contract.
Corporate customers do not have the right of withdrawal.
6. Liability and Warranty
The Service is provided to the best of our knowledge and belief but without express or implied warranty for the accuracy, availability, or reliability of the services. Liability for direct or indirect damages is excluded to the extent permitted by law.
7. Data Protection
The Service processes personal data in accordance with applicable data protection regulations. The privacy policy on the Service's website contains further information on this matter.

9. Final Provisions
a. Changes to the Terms and Conditions: The Service reserves the right to change these Terms and Conditions at any time. Customers will be informed of any changes and have the right to terminate the contract if they do not agree to the amended Terms and Conditions.
b. Severability Clause: If individual provisions of these Terms and Conditions are or become invalid, the validity of the remaining provisions shall remain unaffected.
c. Jurisdiction: For disputes arising out of or in connection with these Terms and Conditions and the Service, the law of the Federal Republic of Germany shall exclusively apply. The place of jurisdiction is Berlin.
These Terms and Conditions are effective from August 24, 2023, and replace all previous agreements between the customer and the Service regarding the Service.
